Licensing Terms.

These Licensing Terms ("Terms") govern your use of SmartDedupe and related services provided by Mahcom LLC ("Mahcom," "we," "us"). By installing SmartDedupe from the Salesforce AppExchange, purchasing a subscription, or otherwise using the service, you ("Customer," "you") agree to these Terms.

1. License grant

Subject to these Terms and your payment of applicable fees, Mahcom grants you a non-exclusive, non-transferable, non-sublicensable license to install and use SmartDedupe in the Salesforce org(s) associated with your subscription, solely for your internal business purposes, during the subscription term.

2. Subscription tiers and limits

SmartDedupe is licensed in annual subscription tiers:

  • Standard — 1 user seat, up to 100,000 combined records.
  • Premium — 2 user seats, up to 500,000 combined records.
  • Enterprise — 5 user seats, up to 1,000,000 combined records.

"Combined records" means the total number of records across the Salesforce Leads, Contacts, and Accounts objects in your org. If your record volume exceeds your subscribed tier, you are required to upgrade. Organizations exceeding 1,000,000 records may contact us for custom pricing.

3. Acceptable use

You agree not to:

  • Reverse engineer, decompile, or disassemble SmartDedupe, except as expressly permitted by applicable law.
  • Resell, rent, lease, sublicense, or distribute SmartDedupe to third parties.
  • Use SmartDedupe to process data you do not have lawful authority to process.
  • Circumvent technical usage limits (record counts, user seats).
  • Use SmartDedupe to build a competing product or service.

4. Term and renewal

Subscriptions are annual and auto-renew for successive one-year terms unless either party provides written notice of non-renewal at least 30 days before the renewal date. Fees for renewal terms will be the then-current list prices.

5. Fees and payment

Subscription fees are invoiced annually in advance and are due within 30 days of invoice date. Fees are non-refundable except as expressly stated in these Terms or required by applicable law. Late payments may accrue interest at the lower of 1.5% per month or the maximum permitted by law.

6. Customer data

As between the parties, you own all data processed by SmartDedupe ("Customer Data"). Mahcom processes Customer Data solely to provide SmartDedupe's functionality and in accordance with our Privacy Policy. SmartDedupe operates inside your Salesforce org; we do not export or retain Customer Data outside the processing required to deliver the service.

7. Support

Standard and Premium subscriptions include email support during business hours. Enterprise subscriptions additionally include telephone support. Response-time objectives are described in the applicable order form or support documentation.

8. Warranties and disclaimers

Mahcom warrants that SmartDedupe will perform materially in accordance with its published documentation during the subscription term. As your sole remedy for breach of this warranty, Mahcom will use commercially reasonable efforts to correct the defect; if it cannot, you may terminate the affected subscription and receive a pro-rata refund for the unused portion of the term.

Except as expressly stated above, SmartDedupe is provided "as is." Mahcom disclaims all other warranties, express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

In no event will either party be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, even if advised of the possibility. Each party's total liability arising out of or related to these Terms will not exceed the fees paid by Customer to Mahcom in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

Either party may terminate for material breach if the other party fails to cure within 30 days of written notice. Upon termination, your license ends and you must uninstall SmartDedupe from your Salesforce org. Sections that by their nature should survive termination will survive.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in San Diego County, California, and each party consents to the personal jurisdiction of those courts.

12. Changes to these Terms

We may update these Terms as our products or the law changes. The "Last updated" date above reflects the most recent revision. Material changes will take effect on your next renewal, and we will notify you by email before they apply.
